Scope of application
These General Terms and Conditions apply to all consulting services provided by Paliza LLC unless otherwise agreed in writing.
Services
The Company provides on-site liaison and documentation services. These consist mainly of site visits, documenting progress with photos and videos, reporting to the Client, and relaying communication between the Client and the construction site, contractors and other parties.
The Company does not perform construction management, directing site supervision, planning, engineering or quality assurance, and does not carry out construction works. The Company makes no construction decisions; all such decisions remain with the Client and the professionals the Client engages.
Fees and payment
Fees are agreed individually and stated in proposals or invoices. Unless otherwise agreed, payment is due within 15 days from the invoice date.
Client obligations
The Client shall provide all necessary information, access and documentation required for the proper performance of the services.
Liability
The Company performs its services with reasonable skill and care. As the Company only observes, documents and relays information and neither makes construction decisions nor carries out works, it is not responsible for construction methods, the execution of works, the performance of contractors or other parties, schedules, costs, or any defects, damage or delays arising therefrom.
Responsibility for construction decisions and for the work itself remains with the Client and the professionals engaged by the Client. The Company does not guarantee the results or quality of the construction works. Any liability of the Company is limited to intent and gross negligence to the extent permitted by law.
Confidentiality
Both parties agree to treat all project-related information as confidential unless disclosure is required by law.
Intellectual property
All reports, documents and materials produced by the Company remain its intellectual property unless otherwise agreed in writing.
Governing law
These Terms and Conditions shall be governed by and construed in accordance with the laws of Switzerland.
Jurisdiction
The place of jurisdiction shall be the competent courts in Switzerland, unless mandatory statutory provisions stipulate otherwise.
